## 1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and kōdōkalabs LLC (“we,” “us,” or “our”), concerning your access to and use of the [website](https://kodokalabs.com/) and our services.

Our consulting services are strictly directed to businesses, entrepreneurs, and corporate clients (B2B). By purchasing our services, you confirm that you are acting in a professional or commercial capacity.

## 2. Nature of Services (AI Disclaimer)

kōdōkalabs utilizes advanced Artificial Intelligence (AI) technologies, including Large Language Models (LLMs), to assist in content generation, strategy formulation, and data analysis.

**You acknowledge and agree that:**

**Accuracy:** While we employ a “Human-in-the-Loop” verification process, AI technologies can occasionally produce incorrect or “hallucinated” information. You are responsible for the final review of any content before publication.

## 3. Intellectual Property Rights

**A. Our IP**

Unless otherwise indicated, the Website, our proprietary [methodologies](./methodology.md) (including “The Hybrid Loop”), source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Website (collectively, the “Content”) are owned or controlled by us and are protected by copyright and trademark laws.

**B. Deliverables (Your IP)**

Upon full payment of all fees, kōdōkalabs assigns to the Client all rights, title, and interest in and to the final deliverables (e.g., the specific articles, strategy documents, or audits provided).

## 4. User Representations

By using the Site, you represent and warrant that:

1. All registration information you submit will be true, accurate, current, and complete.
2. You will not access the Site through automated or non-human means (e.g., bots) without our permission.
3. You will not use the Site for any illegal or unauthorized purpose.

## 5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall kōdōkalabs LLC, nor its members, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

In no event shall our total aggregate liability for all claims arising under or related to these Terms exceed the total amount actually paid by you to us for the specific consulting services rendered during the three (3) months immediately preceding the event giving rise to liability.

## 6. Disclaimer of Warranties & No Guarantee of Outcomes

You expressly agree that your use of, or inability to use, the Services is at your sole risk. The consulting services are provided "as is" and "as available" for your use.

While we strive to provide professional and actionable advice, kōdōkalabs LLC makes no guarantees, representations, or warranties of any kind, express or implied, regarding the specific business outcomes, financial gains, revenue increases, or success resulting from the implementation of our advice or recommendations.

## 7. Governing Law & Jurisdiction

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Sheridan County, Wyoming, USA (or the U.S. District Court for the District of Wyoming). You hereby consent to the exclusive personal jurisdiction and venue of such courts.
